AssemblyNote Terms of Service

Welcome to AssemblyNote! These Terms of Service ("Terms") explain how AssemblyNote works, what you can expect from us, and what we expect from you.
By creating an account, logging in, or using any part of AssemblyNote (the "Service"), you're agreeing to these Terms.
If you don't agree, please don't use the Service.
1. Who "we" and "you" are
When we say "AssemblyNote," "we," "us," or "our," we mean AssemblyNote, Inc.
When we say "you" or "your," we mean:
- The person using the Service, or
- The school, district, or organization that person represents.
If you're using AssemblyNote on behalf of a school or district, you confirm that you're allowed to agree to these Terms on its behalf.
If students use AssemblyNote, they do so under their school's or parent/guardian's supervision, and in line with applicable laws and school policies.
2. What AssemblyNote does
AssemblyNote helps schools, teachers, and administrators:
- Collect short updates ("blurbs") from educators
- Assemble those blurbs into collaborative newsletters or daily bulletins
- Send those communications to families and/or students
We may add, change, or remove features over time as we improve the Service. When we make big changes that significantly impact how you use AssemblyNote, we'll try to give reasonable notice where practical.
3. Who can use AssemblyNote
AssemblyNote is designed primarily for:
- Schools, districts, and educational organizations
- Teachers, staff, and administrators
- Parents/guardians and families who receive communications
By using the Service, you confirm that:
- You're at least 18 years old, or you're using the Service under the supervision of a parent/guardian or authorized school representative; and
- You have the legal right to share any student or contact information you upload.
Schools and districts are responsible for making sure their use of AssemblyNote complies with relevant laws (for example, FERPA, COPPA, and applicable state privacy laws).
4. Your account
To use AssemblyNote as a teacher, admin, or staff member, you'll need an account.
You're responsible for:
- Keeping your login credentials secure
- Not sharing your password with others
- Making sure your account information is accurate
- Letting us know right away if you suspect unauthorized use
Anything that happens under your login is your responsibility, unless it's caused by our security breach.
If your school or district provisions your account, they may have additional rules and oversight.
5. Your content and ownership
You and your organization own the content you create and upload, including:
- Class blurbs and announcements
- Newsletters and bulletins
- Images, files, and other media you attach
- Class rosters or contact lists, to the extent you have rights to use them
(collectively, "Content").
We don't claim ownership of your Content.
However, by using the Service, you grant AssemblyNote a license to:
- Host, store, process, and display your Content
- Generate personalized newsletters and communications
- Make technical copies, backups, and transformations (e.g., formatting, resizing images)
- Use de-identified or aggregated data to improve the Service, as described in our Privacy Policy
This license is:
- Worldwide
- Non-exclusive
- Royalty-free
- For the limited purpose of operating, improving, and supporting the Service
If you delete Content, we'll remove it from active use within a reasonable time. Copies may remain in backups or logs for a limited retention period, or as required by law.
6. Email sending and contact lists
AssemblyNote helps you send emails to your school community. To keep things safe and compliant, you agree that:
- You will only send messages to people you're legally allowed to contact (for example, parents/guardians or staff under your school's policies).
- You will honor any opt-out or unsubscribe requests, where applicable.
- You won't use AssemblyNote to send commercial spam, phishing, scams, or misleading messages.
- You'll follow applicable email and anti-spam laws (such as CAN-SPAM in the U.S.), as well as your district's policies.
We can't guarantee that every email will be delivered (filters, firewalls, and inbox rules are outside our control). We're not liable for undelivered or delayed messages.
We may impose sending limits or temporarily pause sending if we detect unusual or high-risk activity that could harm deliverability for other customers.
7. What you can't do with AssemblyNote
To keep the Service safe and reliable for schools, you agree not to:
- Use AssemblyNote to harass, threaten, or bully anyone
- Post or send content that is hateful, obscene, or unlawful
- Share student information in violation of school policy or applicable law
- Upload malware, viruses, or code intended to disrupt or damage systems
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse-engineer, decompile, or try to bypass security or technical protections
- Use AssemblyNote to impersonate another person, school, or organization
- Use the Service to advertise or sell unrelated commercial products unless we've explicitly agreed to it
We may remove content, restrict access, or suspend or terminate accounts if we reasonably believe these rules are being broken.
8. Plans, billing, and renewals
AssemblyNote may offer:
- Free or trial plans with limited features; and
- Paid subscription plans with additional functionality and higher limits.
If you use a paid plan:
- You agree to pay the fees shown at signup or in your order form.
- Fees are typically billed in advance for the applicable term (for example, monthly or yearly).
- Plans renew automatically at the end of each term unless you cancel before the renewal date.
You can usually manage your subscription from within your account or by contacting us on our contact page.
Unless required by law or explicitly stated otherwise in an order form:
- Fees you've already paid are non-refundable, and
- Canceling stops future renewals but does not issue a refund for the current term.
If your payment method fails and you don't fix it after reasonable notice, we may suspend or downgrade your account.
9. Student data and privacy
We know how important student privacy is.
When you use AssemblyNote with student information, you agree that:
- You have the right to share that information with us for the purposes of school-related communication.
- You'll only upload the minimum information reasonably needed for communication (for example, student name and parent/guardian email).
- You'll use the Service in a way that complies with applicable student privacy laws and your district's policies.
Our Privacy Policy explains:
- What information we collect
- How we use it
- How we protect it
- What rights schools and families may have
By using AssemblyNote, you also agree to the Privacy Policy.
10. Our intellectual property
AssemblyNote owns all rights, title, and interest in and to:
- The Service itself
- Our software, designs, and user interface
- Our trademarks, logos, and branding
You're welcome to use the Service as allowed by these Terms, but you don't acquire any ownership rights in AssemblyNote's intellectual property.
You may not:
- Copy or reuse significant parts of our interface or design to build a competing service
- Use our name or logos in a way that suggests endorsement without our written permission
- Remove or alter any copyright, trademark, or other proprietary notices within the Service
11. Third-party services and links
AssemblyNote may integrate with or link out to other services (for example, student information systems, email providers, or file-storage tools).
Those third-party services are governed by their own terms and privacy policies, not ours. We're not responsible for:
- The content, availability, or behavior of third-party services; or
- Any damage or loss caused by your use of them.
12. Copyright complaints
If you believe that content in AssemblyNote infringes your copyright, you can contact us on our contact page with:
- Your name and contact information
- A description of the copyrighted work you claim was infringed
- A description of where the allegedly infringing content appears
- A statement that you have a good-faith belief that the use is not authorized by you, your agent, or the law
- A statement, under penalty of perjury, that the information you provide is accurate and that you are the copyright owner or authorized to act on their behalf
We may remove or disable access to the content in question while we review the claim.
13. Suspension and termination
You can stop using AssemblyNote at any time. If you want to close your account, you can usually do so from your account settings or by contacting us.
We may suspend or terminate your access to the Service if:
- You violate these Terms or our policies,
- You repeatedly fail to pay fees when due, or
- We reasonably believe your use of the Service creates risk or harm (for example, to students, other users, or our infrastructure).
If we suspend or terminate your account, we'll try to give you reasonable notice unless we're prevented from doing so by law or urgent security concerns.
Sections that, by their nature, should survive termination (for example, limitations of liability, indemnity, ownership, and dispute terms) will continue to apply.
14. "As-is" service (disclaimer of warranties)
We work hard to make AssemblyNote reliable and pleasant to use, but we can't promise perfection.
AssemblyNote is provided "as is" and "as available", without warranties of any kind, whether express or implied. That includes (to the extent allowed by law) implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We don't guarantee that:
- The Service will be uninterrupted, secure, or error-free;
- Emails will always reach their recipients; or
- Every bug will be fixed immediately.
You use the Service at your own risk.
15. Limitation of liability
To the fullest extent allowed by law:
- AssemblyNote and its officers, employees, and contractors are not liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, lost data, or business interruption) arising out of or relating to your use of the Service.
- Our total liability for any claim related to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
Some jurisdictions don't allow all of these limitations, so they may not fully apply to you. In those cases, our liability will be limited to the maximum extent permitted by law.
16. Indemnification
If someone brings a claim against AssemblyNote related to:
- Your use of the Service,
- Your Content, or
- Your violation of these Terms or applicable law,
you agree (to the extent allowed by law) to defend, indemnify, and hold harmless AssemblyNote and its officers, employees, and contractors from that claim and any related damages, costs, and expenses (including reasonable attorneys' fees).
We'll notify you if we become aware of such a claim and will reasonably cooperate with you in the defense, at your expense.
17. Changes to these Terms
We may update these Terms from time to time.
When we do:
- We'll change the "Last updated" date at the top, and
- In the case of a significant change, we may provide additional notice (for example, via email or an in-app message).
If you continue using AssemblyNote after the updated Terms take effect, you're agreeing to the new version. If you don't agree with the changes, you should stop using the Service.
18. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules.
Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Los Angeles County, California, and you and AssemblyNote consent to the personal jurisdiction of those courts.
19. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any signed order form or separate written agreement, are the entire agreement between you and AssemblyNote about the Service.
- No waiver. If we don't enforce a particular provision right away, that doesn't mean we're waiving our right to enforce it later.
- Severability. If one part of these Terms is found invalid or unenforceable, the rest will remain in effect.
- Assignment. You may not assign these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. You agree that we may contact you by email using the address associated with your account for important notices related to the Service.
